Ciber Inc's Board is Corrupt
Since 2005, Paul Jacobs-Esquire of Jacobs Chase has been a member of the board of directors at Ciber, Inc. When Kurtz of Mankwitz Kurtz joined the board of directors at Ciber Inc in December 2007, he was reunited with his friend Jacobs. Based on my experience with Jacobs and Kurtz, I saw first hand how their relationship goes beyond their responsibilities to the shareholders they were hired to represent, protect and serve.
Back in 1999, my company Universal Solutions, Inc. (USI) hired Kurtz's company SKB as an investment banker to find a potential suitor to purchase the company. At this time, Kurtz recommended we hire Jacobs as legal counsel for any pending transaction. In 2000, Kurtz's company was terminated by me for poor performance and I was forced to buy out my partner of 5 plus years. Jacobs was hired to prepare all legal documents in this transaction. Unbeknownst to me or USI, Jacobs without any written or oral permission from me or USI violated the client attorney privilege relationship and sent all legal documents to Kurtz. Kurtz then billed for the transaction stating it was a 'covered transaction'. My company was forced to pay a percentage due to the fact that several attorneys stated it was so broadly defined to cover any thing. Guess who wrote this document? Jacobs! Because his friend was unemployed at the time and needed money, Jacobs decided to violate the attorney client relationship of the shareholders he represented and started providing my companies legal and bank documents to ensure a fee would be paid to Kurtz. This example should be enough for any current Ciber Inc stockholders to SELL Now. If you are thinking of buying Ciber, Inc. wait unit these two non-independent friends are removed from the board.
In 1993, Kurtz and Jacobs both used their relationship to help start the Colorado Rockies as their crowning moment, but when you look beyond the surface of this claim you will find more personal greed and another case of them not representing the shareholders they were hired to protect and serve. Taking advantage of Mickey Monus's Phar-Mor issues, Kurtz and Jacobs were able to work over Nathan Monus, Mickey's Dad,(see Exhibit H - Left Column). A lawsuite was filed, but never went to trial due to Mickey's fraud issues with Phar-Mor. In 1996, Kurtz would sue the Colorado Rockies and their shareholders for what he claimed was misuse of $2,000,000.00 and not being treated as a full partner - Exhibit I. To show the Colorado Rockies distaste for Kurtz, they outline how a little CPA tried to sue the shareholders in their Baseball History. Jacobs was let go from the Colorado Rockies as a result of all the bad press. Jacobs would later go on to brag that Kurtz and him help save the Rockies deal by buying out the Monus interest for $20,000,000.00 for only $10,000.00 paid on the spot and a bogus promisary note of $19,990,000.00. NOTE: Neither Kurtz nor Jacobs had the money to make such as deal - Exhibit H!
On the left column of this page you will find a link of the deposition by Steve Kurtz outlining how his buddy Jacobs provided all required documents regarding my buying out my partner. The smoking gun documents of Jacobs violation of the client attorney relationship are included. This relationship has cost me over $5,300,000.00 to buy out my partner of 5 plus years prior to ever even meeting Kurtz and/or Jacobs. This partner transaction which I had an agreement with to buy prior to even knowing Jacobs or Kurtz. Since this event, I was forced to close USI's doors in 2006 stemming from the actions of my Jacobs and Kurtz relationship. Ironic, that these two men are viewed as independent to prospective and current shareholders at Ciber, Inc. Jacobs actions were unlawful, unmoral and extremely unethical. Jason M. Miller-Esquire, now with First Data, who acted as Jacobs junior on my partner transaction, left Jacobs Chase shortly after the transaction was complete due to his distaste for Jacobs business behavior with Kurtz against me.
Why do I come forward now after 7 years? Once it was brought to my attention that Kurtz joined Ciber, Inc. , a publicly traded company, with Jacobs, I felt obligated to the general public to outline what a corrupt board Ciber Inc. has now formed.
Plus I have NOTHING to LOSE!
I have filed a claim for disciplinary actions against Jacobs with the Colorado Supreme Court and based on this outcome evaluate weather or not to sue Jacobs and Kurtz for malpractice.
Learn from my mistakes and run away from these unlawful, unethical and unmoral 'so called' independents!
